TERMS AND CONDITIONS FOR BUYERS
Canna Traders EU
Effective Date: 01/05/2021
These Terms and Conditions govern access to and use of the Canna Traders EU website, marketplace, ordering flow, and all related business-to-business transactions. By registering, placing an order, requesting an invoice, or otherwise purchasing from Canna Traders EU, the Buyer accepts these Terms in full.
These Terms apply only to business customers and do not apply to consumers.
1. Definitions
For the purposes of these Terms:
Buyer means any legal business entity purchasing products from Canna Traders EU.
Supplier means Canna Traders EU and any affiliated operational or fulfillment partners acting on its behalf.
Products means hemp-derived goods and related materials, including but not limited to THCA, CBD, CBG, CBN, flowers, hash, extracts, isolates, vapes, white-label products, prepacked goods, and raw materials.
Platform means the Canna Traders EU website, ordering system, communication channels, invoices, and related B2B sales infrastructure.
End Customer means any third party to whom the Buyer resells, distributes, markets, or otherwise transfers Products.
COA means a Certificate of Analysis issued by a third-party laboratory showing relevant test results such as cannabinoid content and, where applicable, other analytical parameters.
2. Scope of Business
Canna Traders EU operates strictly as a business-to-business wholesale supplier.
We only sell to registered companies, professional operators, distributors, manufacturers, processors, retailers, and similar commercial customers.
We do not sell to private individuals or end consumers.
The Buyer confirms that all purchases are made solely in the course of business activities and not for private consumption.
3. Eligibility and Registration
To purchase from Canna Traders EU, the Buyer must meet all of the following conditions:

be a legally existing and active company
-
provide accurate and complete company information
-
provide a valid primary shipping address
-
provide a valid billing address
-
ensure that any person acting on behalf of the Buyer has authority to bind the company
-
provide supporting information or documentation upon request
If the Buyer is established in the EU, the Buyer must be validly registered for VAT where applicable.
Canna Traders EU may request identity verification, company verification, ownership information, or compliance documentation at any time.
If no orders have been placed for an extended period, Canna Traders EU may require the Buyer to re-confirm or re-submit registration details before further purchases are accepted.
4. KYC and Compliance Checks
Canna Traders EU reserves the right to carry out Know Your Customer, anti-fraud, and business verification procedures at any time before or after registration.
This may include verification of:

the Buyer entity
-
directors and beneficial owners
-
authorized representatives
-
billing details
-
shipping details
-
business purpose
-
trade history or supporting commercial documentation
Failure to provide requested information may result in delayed processing, order refusal, account suspension, or termination of the business relationship.
5. Product Information and Specifications
Canna Traders EU aims to present products as accurately as reasonably possible through descriptions, photographs, technical data, and laboratory documentation.
Product descriptions may include both measurable characteristics and qualitative assessments, including but not limited to:

cannabinoid content
-
terpene profile
-
aroma
-
color
-
texture
-
structure
-
consistency
-
moisture level
-
crystal formation
-
visual finish
-
malleability
-
viscosity
-
burn or melt behavior where relevant to technical classification
Some descriptions are inherently subjective and may vary from batch to batch or according to handling, storage, transport, and environmental conditions.
The Buyer acknowledges that cannabis and hemp-derived materials are natural or semi-natural products and may vary in appearance, structure, color, aroma, and analytical profile between batches.
The Buyer remains solely responsible for determining whether a product is suitable for its intended commercial use, market, and jurisdiction.
6. COAs and Testing
Where available, Products are supplied with COAs or other technical documentation.
Canna Traders EU may provide cannabinoid test results and other analysis at its discretion or upon request. If additional testing is requested by the Buyer, including but not limited to pesticide, heavy metal, microbiological, or specialty analysis, all associated costs may be charged to the Buyer unless otherwise agreed in writing.
Canna Traders EU does not guarantee that any specific laboratory, test scope, or analytical standard will be accepted by the Buyer’s local regulator, customer base, or downstream market.
7. Orders and Acceptance
Orders may be placed through the Platform, by invoice request, by direct business communication, or through any approved ordering channel used by Canna Traders EU.
All orders are subject to acceptance by Canna Traders EU.
An order is not binding on Canna Traders EU until it has been expressly accepted in writing, confirmed by invoice, or processed for fulfillment.
Canna Traders EU reserves the right to reject, limit, delay, split, or cancel any order at its discretion, including in cases involving:

stock limitations
-
pricing errors
-
compliance concerns
-
payment risk
-
KYC concerns
-
jurisdictional restrictions
-
suspected fraud
-
operational constraints
8. Pricing
Prices are stated on the Platform, in quotations, or on invoices and may be changed at any time without prior notice.
Unless otherwise stated in writing, all prices are exclusive of:

shipping costs
-
customs-related costs
-
duties
-
taxes
-
payment processing fees
-
insurance costs
-
handling costs
-
any local compliance or import charges
The Buyer is solely responsible for all such additional costs.
9. Payment Terms
Unless otherwise agreed in writing, all orders must be paid in full before handling, packing, or shipment.
Accepted payment methods may include:

bank transfer
-
card payment
-
other payment methods offered by Canna Traders EU from time to time
Canna Traders EU reserves the right to restrict or remove any payment method at any time without notice.
Any bank account details stated on an invoice are controlling for that invoice only. Canna Traders EU may use different bank accounts or payment arrangements across invoices, regions, or product categories.
Payment is only considered completed when the full invoiced amount has been irrevocably received and cleared.
All transaction fees, bank charges, card charges, intermediary fees, currency conversion costs, and similar payment-related expenses are borne entirely by the Buyer.
10. Shipping, Delivery, and Fulfillment
Canna Traders EU will arrange fulfillment according to its normal operational procedures or through third-party logistics providers.
Estimated delivery times are indicative only and do not constitute guaranteed delivery dates.
Canna Traders EU is not liable for delays caused by:
-
customs checks
-
carrier issues
-
seasonal congestion
-
regulatory review
-
public holidays
-
force majeure
-
stock fluctuations
-
third-party logistics failures
The Buyer is responsible for ensuring that all shipping and recipient details are correct and complete.
Any costs arising from incorrect delivery information are borne by the Buyer.
11. Transfer of Risk, Insurance, and Shipping Responsibility
All risk in the Products transfers to the Buyer immediately upon dispatch, handover to the carrier, or release from our warehouse or fulfillment partner, whichever occurs first.
From that point onward, the Buyer bears the full and exclusive risk for:

loss
-
theft
-
damage
-
delay
-
failed delivery
-
product deterioration in transit
-
customs holds
-
customs seizure
-
border confiscation
-
destruction by authorities
-
return-to-sender events
-
misdelivery
-
regulatory intervention
-
temperature or humidity exposure during transit
-
any other transit-related event
Canna Traders EU does not provide shipment insurance unless explicitly agreed in writing.
All insurance relating to Products, transport, liability, customs exposure, and commercial risk is the sole responsibility of the Buyer.
Once a shipment has been dispatched, Canna Traders EU has no obligation to compensate, replace, refund, reship, insure, credit, or otherwise cover any loss or damage associated with that shipment, except where mandatory law explicitly requires otherwise.
12. Returns, Refunds, and Cancellations
12.1 No Consumer Withdrawal Rights
This Platform is strictly for B2B trade. Consumer withdrawal rights, including any 14-day cooling-off period under consumer protection law, do not apply.
12.2 Final Sales
All sales are final.
No return, refund, cancellation, credit, or replacement is available unless Canna Traders EU has expressly approved it in writing.
12.3 Non-Returnable Goods
Products are non-returnable by default, especially where they are sensitive, perishable, natural, batch-specific, compliance-sensitive, or vulnerable to deterioration through handling, storage, transport, or delay.
12.4 Product Issues
If the Buyer believes a Product materially deviates from its agreed specification, the Buyer must notify Canna Traders EU in writing immediately upon discovery and no later than 4 calendar days after receipt.
Failure to notify within this period constitutes acceptance of the Products.
12.5 Approved Returns
If a return is approved in writing:

the Buyer must follow the return instructions provided
-
the Buyer must preserve original packaging where possible
-
the Buyer bears all return risks unless otherwise agreed
-
the Buyer must not return any goods without written authorization
Unauthorized returns may be refused, discarded, or held at the Buyer’s expense.
12.6 No Liability for Transit Events
No refund, reshipment, credit, or replacement will be provided for goods that are delayed, seized, confiscated, lost, damaged, or blocked during transit after dispatch.
13. Buyer Compliance Obligations
The Buyer is solely responsible for ensuring compliance with all laws, regulations, and administrative requirements relevant to:

purchase
-
import
-
export
-
storage
-
transport
-
labeling
-
packaging
-
resale
-
marketing
-
possession
-
onward distribution
-
customs clearance
-
taxation
-
licensing
Any product legality statement made by Canna Traders EU refers only to the jurisdiction from which the goods are shipped, unless explicitly stated otherwise in writing.
Canna Traders EU does not warrant that a Product is lawful in the Buyer’s destination country, resale market, or downstream distribution chain.
All seizure, confiscation, legal consequences, penalties, and losses arising from cross-border shipment or local legal non-compliance are borne solely by the Buyer.
14. Product Legality and THCA Waiver
The Buyer acknowledges that certain Products sold by Canna Traders EU may contain THCA or other cannabinoids that are regulated differently depending on jurisdiction, storage conditions, transport conditions, interpretation by authorities, and end use.
The Buyer further acknowledges that:

THCA is a precursor compound
-
heat, pressure, humidity, age, or environmental conditions may affect product state
-
legal evaluation may vary between jurisdictions and authorities
-
analytical interpretation may differ between regulators, labs, and customs authorities
Canna Traders EU is not responsible for any change in Product state, legal interpretation, customs treatment, or regulatory outcome occurring during or after transit.
The Buyer accepts full responsibility for all compliance consequences related to THCA Products, including resale, storage, marketing, and distribution.
15. Marketing, Labeling, and Resale
The Buyer is solely responsible for all marketing, labeling, presentation, claims, and resale practices relating to Products purchased from Canna Traders EU.
The Buyer must ensure compliance with all applicable laws concerning:

advertising restrictions
-
health claims
-
medical claims
-
labeling requirements
-
mandatory warnings
-
age restrictions
-
consumer protection
-
packaging rules
-
local content disclosure rules
The Buyer must not make false, misleading, unsubstantiated, or unlawful claims regarding any Product.
16. Storage and Product Handling
Product quality at the point of dispatch does not guarantee product condition after delivery if improper storage, handling, transport, or environmental exposure occurs.
The Buyer is solely responsible for maintaining appropriate conditions for the Products after risk has transferred, including temperature, humidity, light exposure, packaging integrity, and general storage practice.
Canna Traders EU is not liable for degradation, discoloration, drying, melting, decarboxylation, texture change, terpene loss, or similar post-delivery changes.
17. Complaints and Claims
Any complaint must be submitted in writing to Canna Traders EU immediately upon discovery and no later than 10 calendar days after receipt of the Products.
The complaint must include:

batch details where available
-
photographs or supporting evidence
-
description of the issue
-
packaging information where relevant
If the shipment was received without written reservation to the carrier, the Products are presumed to have been delivered in acceptable condition.
The Buyer must preserve the Products, original packaging, and relevant shipment material for inspection if requested.
Failure to comply with these requirements may result in rejection of the claim.
18. Limitation of Liability
To the fullest extent permitted by law, Canna Traders EU and its affiliates, directors, officers, staff, contractors, logistics partners, and representatives are not liable for any indirect, incidental, punitive, consequential, or special losses, including but not limited to:

loss of profit
-
loss of turnover
-
loss of business
-
loss of customers
-
reputational harm
-
lost opportunities
-
regulatory losses
-
customs-related losses
-
product seizure
-
market withdrawal costs
-
data loss
-
resale loss
-
storage loss
-
transport loss
Any liability of Canna Traders EU, if established, is in all cases limited to the amount actually paid by the Buyer for the specific Product giving rise to the claim.
19. Indemnification
The Buyer agrees to indemnify, defend, and hold harmless Canna Traders EU and its affiliates, representatives, and partners from and against any claim, cost, damage, penalty, loss, liability, or demand arising out of or related to:

the Buyer’s non-compliance
-
the Buyer’s import or resale activities
-
the Buyer’s marketing claims
-
the Buyer’s labeling or repackaging
-
the Buyer’s storage or transport practices
-
third-party claims involving Products after dispatch
-
regulatory action caused by the Buyer’s acts or omissions
20. Confidentiality and Data Protection
Both parties shall treat non-public commercial, technical, and business information exchanged in the course of the relationship as confidential.
This confidentiality obligation continues for 18 months after the business relationship ends, unless a longer period is required by law or separately agreed.
Canna Traders EU processes personal and business data in accordance with applicable data protection law, including GDPR where applicable.
Canna Traders EU may retain transaction records, communications, commercial documentation, and compliance records for as long as required by law, accounting obligations, compliance obligations, or legitimate business interests.
21. Intellectual Property
All intellectual property relating to the Platform, branding, logos, product names, descriptions, texts, graphics, photographs, layout, and related commercial assets belongs to Canna Traders EU or its licensors.
The Buyer may not copy, reproduce, distribute, republish, reuse, translate, scrape, extract, modify, or commercially exploit such material without prior written permission.
The Buyer may not use Canna Traders EU brand assets, product names, descriptions, or commercial material in a way that implies affiliation, authorization, or ownership without written approval.
22. Insurance
The Buyer is solely responsible for obtaining and maintaining any insurance it considers necessary, including but not limited to:

product liability insurance
-
commercial liability insurance
-
cargo insurance
-
customs or trade-risk insurance
-
inventory insurance
Canna Traders EU may request proof of insurance from the Buyer at any time.
23. Force Majeure
Canna Traders EU shall not be liable for any delay, non-performance, or interruption caused by events beyond its reasonable control, including but not limited to:
-
war
-
strikes
-
natural disasters
-
epidemics
-
government action
-
customs intervention
-
regulatory change
-
carrier disruption
-
cyber incidents
-
energy failures
-
supplier disruption
-
stock shortages caused by upstream failure
During such events, obligations may be suspended, delayed, adjusted, or canceled without liability.
24. Termination
Canna Traders EU may suspend or terminate the Buyer relationship, account access, ordering rights, or open commercial cooperation immediately or with notice if:

the Buyer breaches these Terms
-
the Buyer fails to make payment
-
the Buyer provides false or misleading information
-
the Buyer fails a compliance review
-
the Buyer becomes insolvent
-
bankruptcy or similar proceedings begin
-
the Buyer creates legal or reputational risk
-
ownership or control of the Buyer materially changes
-
Canna Traders EU no longer wishes to continue the relationship
Termination does not affect any accrued rights, outstanding payment obligations, indemnities, or limitations of liability.
25. Assignment
Canna Traders EU may assign, transfer, subcontract, or otherwise dispose of any of its rights or obligations under these Terms to any affiliate, successor, purchaser, or third party without needing the Buyer’s further consent.
The Buyer may not assign or transfer its rights or obligations without prior written consent from Canna Traders EU.
26. Amendments
Canna Traders EU may update or amend these Terms at any time.
Updated Terms become effective upon posting on the website, Platform, invoice flow, or other official communication channel, unless a later effective date is specified.
Continued use of the Platform or continued purchasing after such update constitutes acceptance of the amended Terms.
27. Governing Law and Jurisdiction
These Terms and any dispute, claim, or non-contractual matter arising out of or in connection with them shall be governed by the laws applicable to the contracting Canna Traders EU entity.
Any dispute shall be submitted to the competent courts connected to that contracting entity, unless mandatory law requires otherwise.
28. Miscellaneous
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force.
Failure by Canna Traders EU to enforce any right or provision does not constitute a waiver.
These Terms constitute the entire agreement between the parties regarding the relevant subject matter and replace prior discussions, understandings, or drafts to the extent they concern the same subject.
